Terms of Service

1. Service Description

The Trinity CFO Portal ("Service") is a secure web application used by Trinity Management Partners LLC ("Trinity") to provide fractional CFO advisory tools, including financial reporting, ratio analysis, covenant monitoring, and engagement tracking. The underlying portal technology is owned, developed, operated, licensed, and/or supported by KRM Advisory LLC ("KRM"). Access is granted to authorized Trinity personnel and engaged clients on a per-account basis.

KRM is a technology provider only. Use of the Service does not create a separate accounting, tax, legal, capital advisory, lending, brokerage, investment advisory, or other professional-services relationship with KRM.

2. Acceptable Use

You agree to use the Service only for lawful purposes in connection with an active engagement. You may not (a) attempt to access another client's data, (b) reverse engineer or interfere with the Service, (c) upload malicious content, or (d) use the Service to transmit confidential information you are not authorized to disclose.

3. Account Security

You are responsible for safeguarding your credentials and for all activity on your account. Notify us immediately at privacy@trinity-cfo.com of any unauthorized access.

If optional multi-factor authentication, passkeys, or other enhanced verification controls are offered and you decline them, you acknowledge that password-only access is less secure and that you are responsible for risks arising from credential compromise, weak passwords, shared credentials, lost devices, or delayed notice of suspected unauthorized access, subject to obligations that cannot legally be limited.

4. QuickBooks Online Authorization

Where applicable, you authorize Trinity to access your QuickBooks Online data via OAuth 2.0 read-only scopes solely for service delivery. You may revoke this authorization at any time through the Intuit Account Manager.

5. Intellectual Property

Trinity retains rights in its service methodology, templates, report formats, client deliverables, and professional work product, subject to any separate written agreement. KRM retains all rights to the portal technology, including software, source code, workflows, configurations, user interface designs, data models, integrations, and platform materials. Client financial data remains the property of the respective client or data owner.

6. Limitation of Liability

The Service is provided on an "as is" basis. To the fullest extent permitted by law, neither Trinity nor KRM is liable for indirect, incidental, consequential, special, exemplary, punitive, lost profit, lost opportunity, business interruption, reputational, or similar damages arising from your use of the Service. Trinity's total liability under these Terms is limited to fees paid by the client in the preceding twelve months, except where liability cannot legally be limited.

7. Termination

Either party may terminate access upon written notice. Upon termination, your access is revoked; data export is available on request for thirty days thereafter, after which it may be archived consistent with our Privacy Policy.

8. Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any dispute shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
